TERMS OF SERVICE (TheRkive)

Welcome to TheRkive.com, a curated nightlife and entertainment platform operated by TheRkive Entertainment Group, LLC (“Company”). By accessing or using our website, services, or digital properties, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service. These terms govern your relationship with us and your use of the platform, whether you are a casual visitor, registered user, or listing provider. If you do not agree to these terms, you must discontinue use of the platform immediately. These Terms constitute a legally binding agreement enforceable under the laws of the State of Nevada.

1. Use of Platform All users must be at least eighteen (18) years of age to browse the platform and twenty-one (21) years of age to RSVP or participate in alcohol-related activities. By continuing to access the platform, users warrant that they meet these legal age thresholds. The platform shall not be used to engage in, promote, or facilitate any activity that is unlawful, threatening, abusive, defamatory, or otherwise objectionable. The Company reserves the right to restrict, terminate, or suspend access to any user at its sole discretion for violations of these terms or any applicable law. Repeated abuse, attempts to circumvent system controls, or the use of bots or automated systems may result in permanent removal from the platform.

2. Venue and Event Listings Venues and promoters listing events on TheRkive.com must ensure they are in full compliance with all applicable local, state, and federal regulations, including health and safety codes, licensing, and zoning laws. The Company assumes no responsibility for the authenticity or legality of listings and does not independently verify documentation. Any listing that is false, misleading, contains prohibited material, or violates intellectual property rights may be removed without notice. Listing parties agree to indemnify and hold harmless TheRkive Entertainment Group, LLC for any liability, claims, or legal proceedings resulting from their listing content. All listed events and venues must be current, accurate, and promptly updated to reflect changes in status, schedules, or terms.

3. Tickets and RSVPs TheRkive provides RSVP and guestlist functionality through partnerships with third-party platforms and does not itself sell or fulfill ticketed transactions. Users should refer to the respective third-party platform’s terms for ticket purchases, refunds, and event access rights. RSVP features are for convenience only and do not constitute guaranteed entry or contractual attendance rights unless specifically confirmed. The Company bears no responsibility for missed entries, venue capacity limits, or changes made by the host. Users are encouraged to confirm all event details with the official source before making attendance plans.

4. Limitation of Liability To the maximum extent permitted by applicable law, TheRkive Entertainment Group, LLC disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose, reliability, and merchantability. The Company is not liable for personal injury, property damage, data loss, or any consequential damages resulting from the use of this platform or attendance at any listed event. No advice or information obtained through the platform shall create any warranty not expressly stated in these terms. Users assume full responsibility for their conduct at venues, and TheRkive disclaims any liability arising from third-party actions, including but not limited to staff, guests, or hosts. Any legal claims must be filed within one (1) year of the alleged incident or shall be permanently barred.

5. Intellectual Property All logos, content, design elements, graphics, text, videos, and proprietary software on the platform are the exclusive intellectual property of TheRkive Entertainment Group, LLC or its licensors. Unauthorized reproduction, redistribution, scraping, or exploitation of any content or features on the platform is strictly prohibited. Users may not use the Company’s trademarks or service marks without prior written consent. Any content submitted by users may be used by TheRkive under a perpetual, royalty-free, non-exclusive license for marketing or promotional purposes. The Company reserves the right to pursue all available remedies for violations of this section under state and federal law.

6. Governing Law and Jurisdiction These Terms shall be governed and construed in accordance with the laws of the State of Nevada, without regard to its conflicts of law principles. All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Clark County, Nevada. By using the platform, you irrevocably consent to the personal jurisdiction of such courts. Users accessing the platform from other states or countries are responsible for compliance with their local laws and regulations. TheRkive makes no representation that the platform is appropriate or available in jurisdictions outside the United States.
